Terms of service.

PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THIS SOFTWARE.
By using the software developed by Reel AP LLC ("Company"), including its integration with Intuit's Developer APIs (the "Software"), you ("End User") agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use or access the Software.
1. License Grant
The Company grants the End User a non-exclusive, non-transferable, limited license to use the Software for personal or business purposes.
The Software includes integrations with third-party services, including but not limited to Intuit QuickBooks Online via Intuit Developer APIs.
The End User agrees to abide by Intuit’s Developer Terms of Service, as applicable to their usage of Intuit APIs.
2. Restrictions
The End User shall not:
1. Reverse engineer, decompile, or disassemble the Software.
2. Modify, alter, or create derivative works of the Software.
3. Rent, lease, lend, or sublicense the Software to any third party.
4. Use the Software in any way that violates any applicable laws or regulations.
The End User must use the Software solely for lawful purposes and may not use the Software to infringe the rights of others or transmit unlawful, harmful, or offensive content.
3. Third-Party Services and APIs
The Software integrates with third-party APIs, including but not limited to Intuit QuickBooks Online via Intuit Developer APIs.
The End User acknowledges that their use of QuickBooks Online and related services is governed by Intuit's Developer Terms of Service, which can be found here: https://developer.intuit.com/legal.
The End User agrees to comply with Intuit's Developer Terms when accessing or using any features of QuickBooks Online through the Software. The Company is not responsible for the End User's non-compliance with Intuit's terms.
The Company does not warrant or guarantee the availability, functionality, or accuracy of third-party services, including but not limited to QuickBooks Online.
4. Data Privacy and Security
When integrated with QuickBooks Online, the software may interact with sensitive financial and personal data. The End User is solely responsible for ensuring that they comply with any applicable privacy and data security laws when using the Software.
The Company will take commercially reasonable steps to protect the confidentiality of data transmitted between the End User and third-party services (e.g., QuickBooks Online), but makes no warranties or guarantees regarding the security of these transmissions.
5. Intellectual Property
The Software is owned and copyrighted by Reel AP LLC and is protected by applicable copyright laws and international treaties. The End User acknowledges that all intellectual property rights in the Software remain the property of the Company.
Any use of the Software outside of the express license granted in this Agreement is prohibited without the prior written consent of the Company.
6. Termination
This Agreement is effective until terminated. The Company may terminate this Agreement at any time if the End User breaches any terms of this Agreement.
Upon termination, the End User shall cease all use of the Software and uninstall or remove any copies of the Software in their possession or control.
7. Disclaimer of Warranties
The Software is provided "AS IS" and without any warranty of any kind. The Company disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Company does not warrant that the Software will be error-free or that any defects will be corrected. The End User assumes full responsibility for using the Software and any results obtained from it.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any damages arising out of the use or inability to use the Software, including but not limited to direct, indirect, incidental, special, or consequential damages, even if the Company has been advised of the possibility of such damages.
The End User acknowledges that the Company is not responsible for any issues related to third-party services, including but not limited to Intuit QuickBooks Online, or any inaccuracies or delays in data synchronization.
9. Indemnification
The End User agrees to indemnify, defend, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the End User's use of the Software, violation of this Agreement, or breach of any applicable laws or regulations.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflicts of law principles.
Any disputes arising under or in connection with this Agreement shall be resolved in the courts of [Your Jurisdiction].
11. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12. Entire Agreement
This Agreement constitutes the entire agreement between the End User and the Company concerning the use of the Software and supersedes all prior understandings regarding such subject matter.
